These Terms of Service (hereinafter the "Terms") govern your access to and use of the Qweelvo platform and all related services operated by Fusion AI Establishment (trading as "Qweelvo"), a sole-proprietorship establishment registered in Riyadh, Kingdom of Saudi Arabia (commercial registration number on file; VAT-registered with ZATCA). By creating an account, connecting your WhatsApp Business Account, placing an order, making a reservation, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy in their entirety. If you do not agree to these Terms, you must immediately cease using the Service.
These Terms consist of three parts: Part A (Restaurant Subscription Terms — B2B), Part B (End Customer Terms — B2C), and Part C (Cross-Cutting Provisions applicable to all users). You should read the Part most relevant to your relationship with Qweelvo; Part C applies to all users without exception.
A1The Service
Qweelvo provides a Software-as-a-Service (SaaS) platform for food and beverage establishments (hereinafter "the Platform"), incorporating the following capabilities:
- •WhatsApp Business Cloud API integration via Meta's Embedded Signup, enabling AI-powered order-taking, customer support, and notifications in Saudi Arabic dialect and English.
- •A branded Mini App for online ordering, accessible via shareable link or QR code.
- •A Kitchen Display System (KDS) for real-time order management and kitchen coordination.
- •A branch dashboard for inventory tracking, menu management, and operational analytics.
- •A reservation and QR dine-in flow for table bookings and in-restaurant ordering.
- •Delivery logistics capabilities for order dispatch and tracking.
- •Customer notifications via WhatsApp for order confirmations, status updates, and delivery alerts.
- •Payment processing integration via Moyasar (Moyasar's own fees apply separately and are not included within the Subscription Fee).
A2Subscription Model and Pricing
Qweelvo operates on a fixed Subscription Fee model. Qweelvo charges zero per-order commission. The Subscription Fee, all included usage allowances (including, without limitation, monthly WhatsApp conversation volume, number of branches, and number of authorised user seats), and any applicable overage charges shall be as set out in the Order Form or the in-app plan page presented at the time of sign-up.
- •Subscriptions shall be billed annually per branch unless otherwise expressly agreed in the Order Form.
- •Subscription Fees are due and payable on the first day of each billing cycle and are non-refundable except as expressly provided herein or as required by applicable law.
- •All prices are quoted inclusive of Value-Added Tax (VAT) at the applicable rate unless otherwise expressly stated.
- •Qweelvo reserves the right to adjust Subscription Fees upon not less than thirty (30) days' prior written notice to the Restaurant before the next renewal date.
A3WhatsApp Messaging Fees
Conversation-based charges levied by Meta/WhatsApp in respect of marketing, utility, authentication, and service message templates shall be billed at cost or included within defined plan allowances as set out in the Order Form. The Restaurant acknowledges that Meta's pricing for WhatsApp Business Platform conversations is subject to change from time to time and that such changes are entirely beyond Qweelvo's control. Any cost increases imposed by Meta shall be passed through to the Restaurant with reasonable advance written notice.
A4Scope of Subscription — Included and Excluded Items
Included within the Subscription Fee:
- •Full access to the Platform and all standard features available under the subscribed plan.
- •Software updates, bug fixes, and security patches as released from time to time.
- •Standard customer support during published business hours.
- •Platform hosting, data backups, and infrastructure maintenance.
- •Initial onboarding assistance and access to training materials.
- •Payment-processing integration with Moyasar (note: Moyasar transaction fees are billed separately by Moyasar and are not included).
Expressly Excluded from the Subscription Fee:
- •Bespoke development, custom integrations, or design services (to be quoted and agreed separately in writing).
- •Third-party delivery platform fees or courier costs.
- •ZATCA e-invoicing integration costs imposed by ZATCA or its certified service providers.
- •Taxes other than VAT that may be applicable to the Restaurant's specific business activities.
- •Any non-Meta promotional or paid advertising expenditure.
A5Restaurant Obligations
As a Restaurant subscriber, you undertake to:
- •Provide accurate, complete, and current business and contact information and promptly update such information whenever it changes.
- •Comply in full with the WhatsApp Business Messaging Policy, the Meta Commerce Policy, the KSA E-Commerce Law (Royal Decree M/126 of 2019), the Consumer Protection Law (Royal Decree M/24 of 2014), and all applicable food-safety and labelling regulations.
- •Act as the data controller in respect of your End Customers' personal data and maintain your own privacy notice to the extent required by applicable law.
- •Obtain valid, informed, and granular opt-in consent from End Customers prior to sending marketing messages, and honour all opt-out requests promptly and unconditionally.
- •Refrain from sending messages that are deceptive, fraudulent, or harassing, or that violate the WhatsApp Commerce Policy, or that promote goods or services prohibited under applicable law (including, without limitation, alcohol, tobacco, gambling, or prescription medicines).
- •Maintain accurate and current menu information, pricing (inclusive of VAT at the applicable rate), availability, and branch operating hours on the Platform at all times.
- •Fulfil all orders accepted through the Platform in a timely and professional manner and in full compliance with applicable food-safety standards.
- •Pay all Subscription Fees on time and maintain valid, current payment details on account.
- •Refrain from reselling, sublicensing, or otherwise granting access to the Platform to any third party without Qweelvo's prior written consent.
A6Meta Embedded Signup Authorisation
By completing Meta's Embedded Signup flow, you expressly authorise Qweelvo (acting in its capacity as a Meta Business Solution Provider) to: send and receive WhatsApp messages on behalf of your WhatsApp Business Account; manage message templates and submit them to Meta for approval; view quality ratings and messaging limits; and configure your WhatsApp Business Account (WABA) settings to the extent necessary to deliver the Service. This authorisation is strictly limited to the scope required to provide the Service and does not confer upon Qweelvo any right to access your personal Facebook or Instagram accounts. You may revoke this authorisation at any time from Meta Business Suite; such revocation shall immediately disable the messaging features of the Service for the affected number.
A7Term, Renewal, and Termination
Subscriptions shall commence on the date of the Restaurant's first payment and shall auto-renew for successive annual periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the applicable renewal date.
Either party may terminate these Terms upon a material breach that remains uncured for thirty (30) days following written notice of such breach. Qweelvo may suspend or terminate access immediately and without prior notice in any of the following circumstances: (a) the Restaurant breaches the WhatsApp Business Messaging Policy in a manner that jeopardises Qweelvo's Meta Tech Provider status; (b) the Restaurant fails to pay Subscription Fees within fifteen (15) days of the due date following a payment reminder; or (c) the Restaurant's use of the Service presents a material legal or security risk to Qweelvo or to other users of the Platform.
Upon any termination, the Restaurant shall be afforded a data-export period of not less than thirty (30) days in which to retrieve its Restaurant data. Pre-paid Subscription Fees are non-refundable except where: (a) Qweelvo terminates for convenience, in which case a pro-rata refund shall be issued for the unused remainder of the pre-paid term; or (b) a refund is required by applicable law.
A8Service Levels
Qweelvo shall use commercially reasonable efforts to maintain the availability of the Platform. Planned maintenance windows shall be communicated in advance wherever reasonably practicable. Downtime attributable to Meta/WhatsApp, Moyasar, telecommunications carriers, cloud infrastructure providers, or other third-party platforms shall be excluded from any uptime commitment. Detailed Service Level Agreements, where separately agreed, shall be set out in the applicable Order Form.
B1Contract with the Restaurant
When you place an order via WhatsApp, the Mini App, a QR dine-in flow, or a reservation, you enter into a contract directly with the Restaurant, not with Qweelvo. Qweelvo is a technology platform that facilitates ordering, messaging, and payment processing. Qweelvo is neither the seller nor the food preparer, and is not a party to the sale. The Restaurant bears sole responsibility for the quality, safety, accuracy, and fulfilment of your order.
B2Pricing, VAT, and Invoicing
All prices displayed on the Platform include applicable Value-Added Tax (15%) unless otherwise expressly stated. The Restaurant shall issue a tax invoice in accordance with ZATCA's Phase 2 e-invoicing requirements. Prices are set exclusively by the Restaurant and may differ from in-branch menu prices where the Restaurant has elected to apply delivery or platform-specific pricing.
B3Payment Methods
All payments are processed by Moyasar Financial Company, supervised by the Saudi Central Bank (SAMA). Accepted payment methods include Mada, Visa, Mastercard, American Express, Apple Pay, STC Pay, and any additional methods displayed at checkout. By submitting a payment, you authorise the Restaurant (facilitated by Moyasar) to charge the total amount displayed, inclusive of VAT. Qweelvo does not store your full payment card details at any time.
B4Cancellations and Refunds
Prior to Restaurant acceptance: you may cancel your order free of charge at any time before the Restaurant accepts it.
After acceptance but before food preparation begins: cancellation may be permitted at the Restaurant's sole discretion. Where a refund is approved, it shall be returned to the original payment method within approximately seven (7) business days, in accordance with Moyasar's standard processing timeline.
After food preparation has commenced: orders for prepared food may not be cancelled, as such items are perishable and prepared to order. The seven-day cooling-off cancellation right provided under the E-Commerce Law Implementing Regulations (Ministerial Decision No. 200/1441, effective 31 January 2020) does not apply to perishable goods, including freshly prepared food.
Defective, incorrect, or missing orders: if your order is incorrect, contains missing items, or the food is unfit for consumption, you must contact the Restaurant immediately via WhatsApp. You are entitled to a replacement, credit, or refund in accordance with the Consumer Protection Law (Royal Decree M/24 of 2014) and its Implementing Regulations.
B5Delivery
Delivery is performed by the Restaurant or its chosen delivery partner. Estimated delivery times are estimates only and may be affected by distance, traffic conditions, weather, or kitchen capacity. Pursuant to the E-Commerce Law Implementing Regulations, an End Customer shall have the right to cancel an order if delivery is delayed by more than fifteen (15) days from the date agreed at the time of order confirmation. This right applies primarily to pre-orders and catering orders and does not affect the Restaurant's obligation to deliver same-day orders within a reasonable time.
B6Reservations
Reservations are subject to the Restaurant's individual policy regarding no-shows, deposits, and cancellation windows, which shall be disclosed to the End Customer at the time of booking. Qweelvo accepts no responsibility for the Restaurant's reservation management policies or their enforcement.
B7WhatsApp Consent and Opt-In
By messaging a Qweelvo-powered Restaurant on WhatsApp, by submitting an opt-in keyword (such as "Start"), by ticking a consent checkbox within the Mini App, or by tapping a Click-to-WhatsApp button, you consent to receive:
- •Transactional messages (including order confirmations, status updates, delivery notifications, reservation reminders, and receipts) — these are necessary to fulfil your order and shall continue for as long as you have an active order in progress.
- •Marketing messages (including promotions, special offers, and new-menu updates) — only where you have separately and explicitly opted in to receive such communications.
You may opt out of marketing messages at any time by replying STOP in the WhatsApp conversation, by tapping the unsubscribe quick-reply button included in any marketing template, or by emailing [email protected]. All opt-out requests shall be honoured without undue delay. Standard WhatsApp data rates may apply depending on your mobile plan.
B8Acceptable Use
You agree not to, and represent that you shall not:
- •Use the Service for any unlawful, fraudulent, or abusive purpose.
- •Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- •Harass, threaten, or abuse Restaurant staff or Qweelvo personnel through or in connection with the Service.
- •Attempt to interfere with, reverse-engineer, scrape, or probe the Service or its underlying infrastructure.
- •Submit a payment chargeback after receiving and consuming goods without a valid and lawful basis for doing so.
- •Place orders with no genuine intention to receive or pay for the goods ordered.
C1Intellectual Property
All software, trademarks (including, without limitation, the Qweelvo name and logo), designs, artificial intelligence models, prompts, documentation, and all other intellectual property embodied in or used to deliver the Service are and shall remain the exclusive property of Qweelvo or its licensors. Restaurant subscribers are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform during the applicable subscription term solely for their internal business purposes.
Restaurant menus, photographs, brand assets, and proprietary business data remain the property of the Restaurant. The Restaurant hereby grants Qweelvo a limited, royalty-free licence to use such materials solely to the extent necessary to deliver the Service. No rights are granted to either party beyond those expressly stated herein.
C2Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" to the maximum extent permitted by applicable law. Qweelvo makes no warranty, express or implied, as to: uninterrupted or error-free operation of the Service; freedom from defects or harmful components; or the accuracy, completeness, or appropriateness of responses generated by the AI conversational agent. Qweelvo is not responsible for: the quality, safety, labelling accuracy, or legality of food prepared by Restaurants; any representations made by a Restaurant to its End Customers; or any disputes arising between a Restaurant and its End Customers.
C3Limitation of Liability
To the maximum extent permitted by applicable Saudi law, and without prejudice to the exceptions set out below:
- •Qweelvo's aggregate liability to any party arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed: in the case of a Restaurant subscriber, the total Subscription Fees paid by that Restaurant in the twelve (12) months immediately preceding the event giving rise to the claim; and in the case of an End Customer, the total amount paid for the specific order giving rise to the claim.
- •In no event shall Qweelvo be liable for indirect, consequential, incidental, special, exemplary, or punitive damages of any nature, including loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, howsoever caused and regardless of whether arising in contract, tort (including negligence), strict liability, or otherwise, even if Qweelvo has been advised of the possibility of such damages.
- •Nothing in these Terms limits or excludes Qweelvo's liability for: gross negligence; wilful misconduct; fraud or fraudulent misrepresentation; death or personal injury caused by Qweelvo's negligence; or any other liability that cannot be excluded or limited under applicable Saudi law.
C4Indemnification (B2B Only)
The Restaurant shall, at its own expense, defend, indemnify, and hold harmless Qweelvo and each of its affiliates, officers, directors, employees, and agents from and against any and all third-party claims, actions, proceedings, losses, damages, penalties, regulatory fines, judgments, settlements, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with: (a) the Restaurant's breach of the WhatsApp Business Messaging Policy or any applicable law or regulation; (b) the content of messages sent through the Restaurant's WhatsApp Business Account; (c) any products or services sold or supplied to End Customers through the Platform; (d) the Restaurant's failure to obtain required consents or to honour opt-out requests in accordance with applicable data protection law; or (e) any actual or alleged infringement of a third party's intellectual property rights by the Restaurant's materials or content. This indemnification obligation shall survive the termination or expiration of these Terms.
C5Force Majeure
Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay is caused by circumstances beyond that party's reasonable control, including, without limitation: telecommunications or internet outages; third-party platform failures (including, without limitation, Meta and Moyasar); natural disasters; acts of war or terrorism; pandemics or public health emergencies; or governmental orders or regulatory action. The affected party shall notify the other party in writing as soon as reasonably practicable and shall resume performance as soon as the force majeure event has passed or ceased to affect performance.
C6Confidentiality
Each party agrees to hold the other party's non-public business, technical, and financial information in strict confidence and to protect such information with at least the same degree of care it applies to its own confidential information of similar sensitivity, and in any event with no less than a reasonable standard of care. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except to the extent required by applicable law, regulation, or a binding order of a competent court or regulatory authority.
C7Amendments
Qweelvo may amend these Terms from time to time by posting the updated version at https://qweelvo.com/terms and https://qweelvo.com/terms-ar. In respect of Restaurant subscribers, material changes shall take effect not less than thirty (30) days after written notification by email or in-app notice. In respect of End Customers, changes shall take effect upon posting. Continued use of the Service after the effective date of any amendment constitutes acceptance of the amended Terms.
C8Assignment
Restaurant subscribers may not assign, transfer, novate, or otherwise dispose of any of their rights or obligations under these Terms without Qweelvo's prior written consent. Qweelvo may assign these Terms — in whole or in part — to an affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of substantially all of its assets, provided that Qweelvo notifies the Restaurant in writing within a reasonable time of such assignment.
C9Governing Law
These Terms are governed by, and shall be construed in accordance with, the laws of the Kingdom of Saudi Arabia, including Sharia principles as applied by Saudi courts and tribunals, without regard to any conflict-of-laws principles that would require the application of the law of any other jurisdiction.
C10Dispute Resolution
The parties shall first attempt to resolve any dispute, controversy, or claim arising out of or in connection with these Terms amicably through good-faith negotiation for a period of not less than thirty (30) days from the date on which either party notifies the other of the dispute in writing. If the dispute remains unresolved following the expiry of that period:
B2B Disputes: shall be referred to and finally resolved by binding arbitration administered by the Saudi Center for Commercial Arbitration (SCCA) pursuant to its applicable arbitration rules, with the seat of arbitration in Riyadh, conducted in Arabic, before a sole arbitrator. The arbitral award shall be final, binding, and enforceable as a judgment of a competent court.
B2C Disputes: shall be submitted to the exclusive jurisdiction of the competent courts of Riyadh, Kingdom of Saudi Arabia. End Customers retain their right to lodge complaints with the Ministry of Commerce (toll-free 1900 or via the Balagh application) and with SDAIA in respect of data-protection matters through the NDGP.
C11Language
Both the Arabic and English versions of these Terms of Service are equally official, legally binding documents. The Arabic version is available at qweelvo.com/terms-ar and the English version at qweelvo.com/terms. Neither version supersedes the other.
C12Severability and Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it enforceable, or — if such modification is not possible — severed from these Terms, without affecting the validity or enforceability of the remaining provisions. These Terms, together with the applicable Order Form (if any) and the Privacy Policy, constitute the entire agreement between the parties with respect to the Service and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.
